1. General Provisions
This Public Offer (hereinafter referred to as the "Offer") is an official public proposal by the Contractor (Averin Sergey Anatolyevich, TIN 760701668940, self-employed, applying the special tax regime "Professional Income Tax") to conclude a Service Agreement (hereinafter referred to as the "Agreement") on the terms set forth below.
This Offer is addressed to an indefinite number of persons and complies with the requirements of paragraph 2 of Article 437 of the Civil Code of the Russian Federation.
Terms and Definitions:
- Agreement — this Offer with Annexes, accepted by the Customer through conclusive actions.
- Conclusive actions — actions expressing the intention to conclude the Agreement: payment for services, sending a request, registration on the Website, written confirmation in official channels, actual use of work results.
- Contractor — Averin Sergey Anatolyevich, TIN 760701668940.
- Customer — an individual or legal entity that has accepted this Offer.
- Website — http://mderick.dev
- Official communication channels — Telegram (specified account), e-mail: russianlol24@gmail.com, Discord (specified account), contact form on the Website.
- Services — development, programming, design, consulting, administration and other IT services provided by the Contractor.
- Technical Specification (TS) — a document defining the scope, characteristics, deadlines and requirements for the Services, agreed by the Parties in writing (including electronically).
2. Subject of the Agreement
The Contractor undertakes to provide the Customer with IT Services, and the Customer undertakes to accept and pay for the Services in the amount, manner and time established by this Agreement. The Agreement is concluded from the moment the Customer accepts this Offer through conclusive actions: payment, sending a request, written confirmation, or actual use of the results.
3. Cost and Payment Procedure
The cost of Services is determined based on the price list posted on the Contractor's Website or individual calculation agreed upon by the Parties. Prices are indicated in Russian rubles and do not include VAT. Payment is made in non-cash form. By default, a prepayment of 50% is required before starting work, the remaining 50% upon completion.
For individual customers paying in rubles within Russia (card, SBP, domestic bank transfer), the price stated in the invoice is final; no extra fees may be charged depending on the payment method. Fees for international/cross-border transfers (SWIFT, PayPal, foreign currency, etc.) are borne by the Customer unless otherwise agreed in writing.
Refund of prepayment is made minus the cost of work actually performed and documented expenses (Art. 782 of the Civil Code of the RF). Warranty covers reproducible defects vs. the agreed Technical Specification for 11 calendar days after acceptance; mandatory consumer rights remain where applicable. Subscription services: proportional refund for unrendered services upon early termination.
4-18. Other Terms
The Agreement regulates: rights and obligations of the Parties, deadlines, acceptance procedure, warranty service (11 days, limited to reproducible defects vs. TS), intellectual property rights (restrictions on third-party use apply until full payment), liability, confidentiality, force majeure, dispute resolution, official communication channels, subscription services with proportional refunds, amendment and termination of the Agreement.
